PLATFORM AGREEMENT
Silverline Properties Platform Terms and Conditions
1. Agreement and platform role
These Terms govern your access to and use of the Silverline Properties website, account, listings, communications, property-interest process and payment-request features. By clicking I agree, creating or using an account, expressing interest, booking a viewing, sending a request or initiating a payment, you confirm that you have read and accepted the current version of these Terms.
Silverline Properties operates a property-discovery and transaction-support platform. Unless a listing expressly states otherwise, Silverline does not own the property advertised. Properties, listing information and transaction documents are supplied by independent property owners, developers, sellers, agents or other service providers (collectively, Service Providers).
2. Service Providers and listings
Each Service Provider remains responsible for its property, authority to market or sell it, listing information, title, approvals, condition, availability, price, representations, taxes and performance of any sale agreement. Silverline may facilitate introductions, communications, viewings, document sharing, payment requests and transaction tracking, but does not become the owner, seller, developer, advocate, surveyor, valuer, lender or guarantor solely by providing those services.
Silverline may amend, suspend or remove a listing where information is incomplete, disputed or no longer current. Listing availability and prices may change before a binding sale agreement is executed.
3. Vetted and verified status
Silverline works with vetted Service Providers and may review selected identity, location or listing documents. A vetted, verified, reviewed or similar badge describes only the checks expressly identified in the relevant Property Passport at that time. It is not a guarantee of ownership, good title, absence of encumbrances, structural condition, regulatory compliance, investment return, future value, Service Provider performance or the legal validity of a transaction.
4. Your due diligence
You must conduct independent due diligence before signing documents or paying money. Depending on the property, this should include using a qualified Kenyan advocate and other appropriate professionals to verify:
- the seller's identity, legal capacity and authority to transact;
- the official title, registry search, encumbrances, cautions, restrictions and disputes;
- survey records, beacons, acreage, access, user restrictions and planning approvals;
- land rates, land rent, taxes, consents and other statutory obligations;
- building approvals, occupation documents, warranties and physical condition;
- the sale agreement, completion documents, payment milestones and release conditions; and
- any valuation, financing, rental-income or investment assumptions.
You should inspect the property and should not rely solely on photographs, videos, descriptions, badges, messages or documents displayed on the platform.
5. Offers, reservations and completion
An expression of interest, viewing request, payment request, reservation status or platform message is not by itself a transfer of property or a binding sale agreement. Ownership changes only through valid transaction documents, statutory consents, payment and registration or other completion steps required by Kenyan law.
6. Payments and escrow arrangements
Where a transaction offers an escrow or protected-payment option, payment processing and custody of funds will be performed through the payment channel and, where applicable, an identified independent bank, advocate, licensed payment service provider or escrow partner. Silverline will not represent that it holds customer money in escrow unless it is legally authorised and expressly identified as the custodian for that transaction.
M-PESA, bank, card and other payment methods are also subject to the payment provider's terms, charges, limits, verification and processing rules. A payment does not prove title or complete a property transfer. The transaction-specific payment request must state the amount, purpose, custodian or receiving party and release condition before payment is initiated. Do not pay through a personal number or account that is not shown in the approved payment request.
7. Third-party information and professional advice
Service Provider content and external links are provided for transaction assessment and may contain errors or omissions. Silverline does not provide legal, tax, surveying, valuation, engineering, investment or financial advice. Obtain independent professional advice appropriate to your circumstances.
8. User responsibilities
You agree to provide accurate information, protect your account, use the platform lawfully, review transaction records promptly and notify Silverline of suspected fraud or unauthorised activity. You must not impersonate another person, upload unlawful material, misuse another person's data, interfere with the platform or attempt to bypass approved transaction controls.
9. Disclaimer and limitation of liability
To the fullest extent permitted by applicable law, Silverline disclaims warranties that listings or Service Provider information are complete, error-free or suitable for a particular purpose. Silverline is not liable for a Service Provider's act or omission, defective title, hidden defect, change in value, failed financing, delayed approval, third-party system failure or a dispute between a user and a Service Provider, except to the extent directly caused by Silverline's own breach of a non-excludable legal duty.
To the fullest extent permitted by law, Silverline will not be liable for indirect, consequential, special or loss-of-profit damages arising from use of the platform or a third-party transaction. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence or any statutory consumer or other liability that cannot lawfully be excluded.
10. Indemnity
To the fullest extent permitted by law, you agree to indemnify and hold harmless Silverline, its officers, employees and agents from third-party claims, losses, penalties and reasonable costs arising from your unlawful conduct, fraud, material breach of these Terms, misuse of the platform, infringement of another person's rights or transaction instructions that you supplied. This indemnity does not apply to the extent a claim was caused by Silverline's fraud, wilful misconduct, gross negligence or breach of a duty that cannot lawfully be excluded.
11. Privacy and communications
Silverline processes account, contact, property-interest, document and transaction information to provide the service, maintain records, prevent fraud and comply with legal obligations. Where consent is the applicable basis, consent must be affirmative and may be withdrawn for future optional communications. Withdrawing optional contact consent does not invalidate processing already lawfully undertaken or prevent essential service and transaction notices.
12. Changes, records and severability
The concierge may publish a new version of these Terms. The version and acceptance date are recorded, and users may be required to accept materially updated Terms before continuing with protected actions. If a provision is invalid or unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue to apply.
13. Governing law and complaints
These Terms are governed by the laws of Kenya. Raise a complaint through your Silverline account or the platform contact channels so it can first be reviewed in good faith. Nothing in these Terms removes a mandatory right to approach a regulator, tribunal or court with jurisdiction in Kenya.
